    1. Introduction

    These Terms of Service govern your use of Saga Marketing Systems' AI voice agents, chatbots, and marketing automation services. By signing our service agreement or utilizing our platforms, you agree to be bound by these Terms.

    2. Services & Responsibilities

    We provide customized AI communication tools based on the training data you supply. You are responsible for providing accurate business information, maintaining integrated systems, and ensuring your business complies with all applicable laws. You acknowledge that AI services are technology-based and may occasionally require human intervention or refinement.

    3. Payment Terms

    Our services may include setup fees, monthly recurring subscriptions, and usage-based fees (e.g., for exceeding allotted phone minutes or SMS messages). Payments are processed automatically. We reserve the right to modify pricing with 30 days' advance written notice.

    4. Intellectual Property

    We retain all rights to our AI technology, software, methodologies, and branding. You retain all rights to your business data, original scripts, and customer relationships. You grant us a limited license to use your data to deliver, customize, and improve our services.

    5. Data Privacy & Security

    We employ industry-standard security measures to protect your data and do not sell your personal information to third parties. Your use of our services is also governed by our Privacy Policy, which details how we collect, use, and protect your information.

    6. Limitation of Liability & Indemnification

    To the maximum extent permitted by law, Saga Marketing Systems is not liable for indirect, incidental, special, or consequential damages arising from the use of our services, including AI misunderstandings or lost business opportunities. You agree to indemnify and hold us harmless against claims resulting from your violation of laws, breach of these Terms, or misuse of our services.

    7. TCPA & Communication Compliance

    You are solely responsible for obtaining proper consent before contacting individuals via phone, SMS, or email. You must honor opt-out requests immediately and comply with the Telephone Consumer Protection Act (TCPA), CAN-SPAM, GDPR, and all other relevant communication regulations. We provide the tools; you are responsible for ensuring their lawful use.

    8. Termination & Refunds

    Either party may terminate services with 30 days' written notice. Setup fees and monthly recurring fees are generally non-refundable. Upon termination, your access to the services will cease, and your data will be retained for 90 days before being securely deleted or anonymized.

    9. Dispute Resolution

    Any disputes arising from these Terms will first be addressed through good-faith informal negotiation. If unresolved, disputes will be settled through binding arbitration in California, rather than in court. Both parties waive the right to participate in class actions or class arbitrations.

    10. SMS Terms & Conditions

    By opting in to SMS communications from Saga Marketing Systems, you agree to receive automated service, transactional, and marketing messages.
    Frequency: Message frequency varies.
    Rates: Message and data rates may apply.
    Opt-Out: You may opt-out at any time by replying STOP.
    Help: For assistance, reply HELP.
    Mobile carriers are not liable for delayed or undelivered messages. We do not share phone numbers with third parties for their own marketing purposes.
